1. Acceptance of Terms

By accessing or using Eddi ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. Platform Description

Eddi is an AI-powered technical interviewing and talent marketplace platform that connects clients seeking technical talent with pre-screened engineers and developers ("Talent"). The Platform facilitates talent assessment, screening, and potential engagement opportunities.

3. User Categories and Eligibility

3.1 Clients: Companies or individuals seeking to hire technical talent.

3.2 Talent: Technical professionals seeking employment or contract opportunities.

3.3 Eligibility: You must be at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration and Responsibilities

4.1 You must provide accurate, complete, and current information during registration and keep your account information updated.

4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4.3 You must notify us immediately of any unauthorized use of your account.

5. Platform Use and Conduct

5.1 Permitted Use: You may use the Platform solely for its intended business purposes - talent assessment, screening, and legitimate hiring activities.

5.2 Prohibited Conduct: You may not:

  • Provide false or misleading information
  • Attempt to circumvent our screening or assessment processes
  • Use the Platform to compete with Eddi's business model
  • Collect or harvest user information for unauthorized purposes
  • Violate any applicable laws or regulations
  • Interfere with or disrupt the Platform's functionality

6. Assessment and Screening Process

6.1 Talent assessments may include AI-generated interviews, coding challenges, and behavioral analysis.

6.2 We reserve the right to accept or reject any Talent application at our sole discretion.

6.3 Assessment results and screening decisions are confidential and proprietary to Eddi.

7. Non-Circumvention and Non-Solicitation

7.1 Users agree not to circumvent the Platform by directly contacting, hiring, or engaging with other users outside of the Platform's established processes without Eddi's written consent.

7.2 This restriction applies during your use of the Platform and for twelve (12) months after termination or cessation of use.

7.3 Violation of this section may result in liquidated damages equal to 25% of the estimated annual compensation for any circumvented engagement, plus attorneys' fees and costs.

8. Intellectual Property

8.1 Platform Content: All Platform content, including software, algorithms, assessments, and user interfaces, is owned by Eddi and protected by intellectual property laws.

8.2 User Content: You retain ownership of content you submit, but grant Eddi a license to use, modify, and display such content in connection with Platform operations.

8.3 Assessment Data: All interview responses, assessment results, and related data become the property of Eddi for business and analytical purposes.

9. Privacy and Data Protection

9.1 Your use of the Platform is subject to our Privacy Policy, which is incorporated by reference.

9.2 We may monitor and record interviews and assessments for quality assurance and anti-cheat purposes.

9.3 We implement industry-standard security measures to protect your information.

10. Payment Terms

10.1 Platform access may be subject to subscription or usage fees as specified in your account.

10.2 All fees are due upon receipt of invoice and are non-refundable unless otherwise specified.

10.3 Late payments may incur interest charges and service interruption.

11. Engagement Agreements

11.1 Actual talent engagements require execution of separate agreements (Client Services Agreement, Talent Agreement, etc.).

11.2 These Terms govern Platform use; engagement agreements govern work relationships.

11.3 In case of conflict, engagement agreements take precedence for matters relating to specific work arrangements.

12. Termination

12.1 Either party may terminate access to the Platform at any time with or without cause.

12.2 Upon termination, your right to use the Platform ceases immediately.

12.3 Sections 7 (Non-Circumvention), 8 (Intellectual Property), 13 (Limitation of Liability), and 15 (General Provisions) survive termination.

13. Limitation of Liability and Disclaimers

13.1 Service Disclaimer: THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

13.2 Limitation of Damages: IN NO EVENT SHALL EDDI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES EXCEEDING THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13.3 Assessment Accuracy: While we strive for accurate assessments, we do not guarantee the accuracy of AI-generated evaluations or screening results.

14. Indemnification

You agree to indemnify and hold Eddi harmless from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or violation of any third-party rights.

15. General Provisions

15.1 Governing Law: These Terms are governed by Delaware law without regard to conflict of law principles.

15.2 Dispute Resolution: Any disputes shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in court for violations of intellectual property or confidentiality provisions.

15.3 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement regarding Platform use.

15.4 Modifications: We may modify these Terms at any time by posting updated terms. Continued use constitutes acceptance of modifications.

15.5 Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

15.6 Assignment: We may assign these Terms without notice. You may not assign your rights without our written consent.
